One of the questions we are most frequently asked by international clients is whether they can begin establishing their business and relocating to Cyprus without being physically present on the island.
The short answer is yes, much of the process can be completed remotely. However, establishing a Cyprus company, becoming a Cyprus tax resident and obtaining the appropriate residence permit are three separate legal processes, each with different requirements.
Establishing a Cyprus Company Remotely
A Cyprus company can generally be incorporated without its shareholders being physically present in Cyprus.
Subject to the required identification, due diligence and compliance procedures, the following steps can usually be handled remotely:
- approval of the proposed company name
- preparation and execution of the incorporation documents
- registration of the company
- appointment of directors and secretary
- provision of a registered office
- registration of the beneficial owners
- tax and VAT registration, where applicable
The Cyprus Registrar of Companies provides electronic services for company incorporation and related filings.
Nevertheless, incorporation alone does not automatically establish that the company is genuinely managed and controlled from Cyprus. The company’s governance, decision-making, banking arrangements, accounting, tax compliance and operational substance should therefore be properly structured from the outset.
Opening a Bank Account
The account-opening process depends on the particular bank, the proposed activities of the company and its risk assessment.
Although documentation and preliminary compliance checks may be completed remotely, a bank may require the beneficial owners or authorised signatories to attend a personal meeting. Banks will also request detailed information regarding the source of funds, source of wealth, business activities, expected transactions and countries with which the company will trade.
Cyprus Tax Residency Under the 60-Day Rule
The incorporation of a Cyprus company does not, by itself, make its owner personally tax resident in Cyprus.
An individual may qualify as a Cyprus tax resident under the 60-day rule if, during the relevant tax year, all the statutory conditions are satisfied. These include, among others:
- remaining in Cyprus for at least 60 days
- not remaining in any other country for more than 183 days
- not being tax resident in another country
- carrying on a business, being employed or holding an office in a Cyprus tax-resident company
- maintaining a permanent residential property in Cyprus, whether owned or rented
The applicable business, employment or office must continue until the end of the relevant tax year.
The 60-day rule therefore cannot be completed entirely remotely. The required days must be physically spent in Cyprus, while suitable accommodation and documentary evidence should be arranged carefully.
Residence and Immigration Status
Tax residency must not be confused with the right to reside or work in Cyprus.
A non-EU national must hold the appropriate residence or work authorisation, depending on the person’s nationality, family circumstances, income and intended activities in Cyprus. Available routes may include:
- a Visitor Temporary Residence Permit
- permanent residence by investment
- a Digital Nomad Residence Permit
- employment through an eligible Company of Foreign Interests
- the EU Blue Card, where the statutory criteria are met
Each route carries different requirements and restrictions. For example, holding shares in a Cyprus company does not necessarily give a person the right to work for or manage that company from Cyprus.
When Is a Visit to Cyprus Advisable?
Even where the legal and corporate work begins remotely, a carefully planned visit is usually advisable in order to:
- attend any required bank or compliance meetings
- inspect and select appropriate accommodation
- sign a lease or complete a property transaction
- submit biometric information or attend immigration appointments
- establish practical evidence of residence and local presence
- meet the professional advisers responsible for the ongoing structure
With proper preparation, the necessary appointments can often be coordinated within a relatively short visit.
Our Practical Advice
The most effective approach is usually to begin remotely and complete the necessary personal steps during one properly organised visit to Cyprus.
Before travelling, the company structure, tax-residency objectives, immigration route, banking requirements and accommodation arrangements should be considered together. This avoids unnecessary travel, conflicting arrangements and the common mistake of addressing each element separately.
At VERA LYSSIOTIS LLC, we provide a coordinated legal and advisory service for company formation, immigration, tax-residency planning, banking introductions and relocation to Cyprus.
